According to regulatory disclosures, this upward trajectory reflects the company’s evolving approach to executive remuneration in an era of heightened security concerns.
Breaking Down the Compensation Structure
What sets Zuckerberg’s pay package apart is its unconventional composition. Rather than relying on traditional salary and stock options, his 2024 remuneration was dominated by security-related expenses. The Meta founder accepted just $1 in annual salary by choice and declined participation in the company’s bonus plan, requesting no equity awards whatsoever.
The substantial portion of his $27.22 million package originated from personal security costs incurred at his residences and throughout his private travels. Additionally, his security allowance and expenses tied to personal aircraft usage formed integral components of the total compensation structure.
Executive Compensation Gap Widens
The 2024 compensation figures underscore a growing disparity within Meta’s organizational hierarchy. The ratio between Zuckerberg’s annual total compensation and the median compensation of all other employees stood at 65:1, illustrating the significant pay differential at the executive level.
Stock Pledge Updates
According to recent filings as of April 1, 2025, Zuckerberg has pledged 12 million shares of Class B common stock to secure certain company indebtedness. This collateral represents approximately 3.5% of shares beneficially owned by Zuckerberg personally, 0.5% of Meta’s total outstanding common stock, and roughly 2.1% of the company’s total voting power. The arrangement received prior approval from Meta’s compensation, nominating and governance committee as well as the board of directors.
